Prosoft Merger with Trinity Learning Falls Through
7/28/2004 -- Phoenix, Ariz.-based ProsoftTraining.com, known for its Certified Internet Webmaster (CIW) certification program, announced last Friday that its pending merger with Trinity Learning has fallen through.
Prosoft announced the merger plans in February, following years of struggling financial performance and a failed search for a buyer.
In a statement regarding the merger cancellation, Prosoft CEO Robert Gwin said, "Despite the substantial efforts by both companies to structure a successful transaction, the challenges to completing the merger ultimately could not be overcome. Given the continuing changes in the market and our other business opportunities, Prosoft's board of directors has determined that the company's shareholders are better served by remaining an independent entity at this time."
A spokesperson for Prosoft told CertCities.com that the cancelled merger will have "no effect" on the CIW certification program. Prosoft recently announced the first update of its CIW Associate exam in at least four years.
At press time, Prosoft (NASDAQ: POSO) was trading at $.47, down a cent. The company regained Nasdaq compliance in April.
